These Terms & Conditions govern the design services provided by Emsy Design Studio (Emma Burke) to the Client. By engaging with Emsy Design Studio, the Client agrees to these terms.

‍1. Services & Project Scope

1.1 Scope of Work
- The Designer will provide the services outlined in the project proposal or agreed-upon service package.
- Any additional requests beyond the agreed scope will incur extra charges.

1.2 Project Timeline
- A start date will be agreed upon, and reasonable efforts will be made to meet deadlines.
- Delays caused by late responses or missing information from the Client may result in timeline extensions.


‍2. Payment Terms

2.1 Pricing & Deposits
- Projects require a 50% non-refundable deposit before work begins.
- The remaining balance must be paid before final files are released.

‍2.2 Late Payments
- Payments must be made within 7 days of the invoice date.
- Late payments may incur a 5% weekly late fee.
- Work may be paused if payment is not received.

‍2.3 Additional Costs
- Extra revisions, additional deliverables or scope changes will be quoted separately and must be agreed upon in writing.


3. Revisions & Approvals
‍
- Each project includes a set number of revision rounds (as stated in the package).
- Additional revisions are charged at £150 per round.
- Once final approval is given, further changes will be billed separately.

4. Creative Memberships
‍
- Creative Memberships are billed monthly in advance.
- Clients subscribed to a creative membership agree to a minimum commitment of one month.
- Unused design requests do not roll over to the next month.
- Cancellations require 14 days’ notice before the next billing cycle.

Please note: Under the memberships the following applies:
- Social media posts, templates, video covers and YouTube thumbnails are provided in sets of 3.
- Custom icons and illustrations are provided in sets of 5.
- Stickers and badges are provided in sets of 5.
- PDF brochures and pitch templates include up to 10 pages/slides.
- Web mock-ups include up to 3 pages.
- App mock-ups include up to 10 pages.
- Lead magnets/freebies include up to 5 pages.

Additional charges apply for extra pages or items beyond the listed inclusions.


5. Copyright, Trademark & Ownership

5.1 Copyright Ownership
- The Client owns full copyright to the final approved design upon full payment.
- Draft concepts, unused designs and working files remain property of Emsy Design Studio unless otherwise agreed in writing.
- The Designer may use elements from past projects in future work unless exclusivity is agreed upon.

‍5.2 Trademarks & Legal Responsibility
- The Client is responsible for conducting trademark searches and ensuring their chosen branding does not infringe on existing trademarks.
- Emsy Design Studio will make every effort to create original designs; however, guarantees cannot be made that the final design will be free from copyright conflicts or eligible for trademark registration.
-The Designer is not liable for any legal disputes arising from the Client’s use of the final design.

‍5.3 Portfolio & Promotion
- The Designer retains the right to showcase the final work in their portfolio, website, and promotional materials.
- If the Client requires confidentiality, a written request must be made.


6. Cancellations & Refunds

- Deposits are non-refundable.
- If the Client cancels before completion, payment will be due for the work completed.
- If the Designer is unable to complete the project due to unforeseen circumstances, a partial refund (minus completed work) may be issued.


‍7. Pausing Projects
‍
- If the Client does not respond within 7 working days, the project may be paused.
- A £150 reactivation fee may apply if the project remains paused for over 6 months.


8. Liability & Disclaimers
‍
- The Designer is not responsible for printing errors or technical issues once final files are approved.
- The Client must review all files before publishing.
- The Designer is not liable for damages exceeding the project’s total cost.


‍9. Confidentiality & Data Protection
‍
- All Client information will be treated as confidential.
- The Designer will not share or disclose sensitive business details unless legally required.


‍10. Governing Law & Dispute Resolution
‍
These terms are governed by UK law. If disputes arise, both parties agree to first attempt mediation before legal action.
